Terms of Service

1. Description of the Service

TypeBeat.Fun is a subscription-based software-as-a-service (SaaS) platform that provides independent music producers with tools to manage, organize, promote, and analyze their own digital products, including beats and related content.

The Service includes features such as beat catalog management, marketing asset generation, analytics dashboards, email capture and CRM tools, and customizable producer profile pages.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Subscription & Fees

• Access to the Service requires payment of a recurring subscription fee as displayed on our pricing page.
• Subscription fees grant access to software features only.
• TypeBeat.Fun does not charge commissions, revenue share, or transaction-based fees.
• Subscription fees are billed in advance and are non-refundable except as expressly stated in our Refund Policy.

4. Payments & Merchant of Record

• TypeBeat.Fun may provide technical checkout functionality and order orchestration using third-party payment processors.
• TypeBeat.Fun does not hold customer funds in escrow and does not take title to beats or licenses sold by producers.
• Producers are the sole merchant of record for any beat or license sales.
• Payments are processed through third-party providers (such as PayPal) in accordance with those providers' terms and policies.
• Any disputes, refunds, chargebacks, or customer service issues related to beat or license purchases are the sole responsibility of the producer.

5. Taxes

5.1 Producer Tax Responsibility

Producers are solely responsible for determining, collecting, reporting, and remitting all taxes, duties, levies, and similar charges related to their sales, including sales tax, VAT, GST, digital services taxes, withholding taxes, and any other applicable transaction taxes.

Producers are also responsible for obtaining and maintaining any registrations, permits, or tax IDs required by applicable law.

5.2 Legal Override

Notwithstanding the foregoing, if applicable law requires TypeBeat.Fun and/or a payment processor to collect, withhold, remit, or report taxes for certain transactions, TypeBeat.Fun may do so and may take any operational steps reasonably necessary to comply with legal obligations.

5.3 Cooperation

Producers agree to provide accurate tax and business information upon request and to cooperate with compliance measures, including records requests and tax-related reporting obligations.

Failure to provide required information may result in withholding, restricted functionality, suspension, or termination of account access.

6. User Content & Responsibilities

6.1 Ownership

Producers retain full ownership of all content they upload, link to, or otherwise make available through the Service ("User Content"). TypeBeat.Fun does not claim ownership over User Content.

6.2 Responsibility

You are solely responsible for:

• The accuracy, legality, and ownership of your User Content
• Ensuring you hold all necessary rights, licenses, and permissions
• Compliance with all applicable laws, including copyright and intellectual property laws

TypeBeat.Fun does not verify ownership or licensing of User Content.

7. Prohibited Use

You agree not to use the Service to:

• Infringe or violate intellectual property rights
• Upload or promote unlawful, fraudulent, or misleading content
• Imply that TypeBeat.Fun sells, licenses, or distributes your content
• Misrepresent payment flows or claim that TypeBeat.Fun processes customer payments
• Engage in any activity that violates applicable laws or regulations

We reserve the right to suspend or terminate access for violations of this section.

8. Third-Party Services

The Service may integrate with or link to third-party services, including payment providers, analytics tools, and marketing platforms.

TypeBeat.Fun does not control and is not responsible for third-party services. Your use of third-party services is governed by their respective terms and policies.

9. Refund Policy

Subscription refunds are governed by our Refund Policy, which applies only to TypeBeat.Fun subscription fees.

TypeBeat.Fun does not mediate producer-initiated refunds related to beat or license purchases made through third-party payment providers unless required by law or payment network rules.

10. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or use the Service in a manner that creates legal or regulatory risk.

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TypeBeat.Fun does not guarantee uninterrupted or error-free operation of the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYPEBEAT.FUN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL TYPEBEAT.FUN'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO TYPEBEAT.FUN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless TypeBeat.Fun from any claims, damages, liabilities, losses, and expenses arising from:

• Your User Content
• Your use of the Service
• Your transactions with buyers
• Your tax, reporting, withholding, or remittance obligations
• Your violation of these Terms or applicable laws

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.
